These Terms & Conditions are governed by the laws of the Republic of the Philippines, including the Consumer Act (Republic Act No. 7394), the E-Commerce Act (Republic Act No. 8792), the Internet Transactions Act of 2023 (Republic Act No. 11967), and the Data Privacy Act of 2012 (Republic Act No. 10173), where applicable. Your use of our service may also be subject to local laws in your jurisdiction.

1. Acceptance of Terms

By accessing and using Watcher2 ("the Service"), you accept and agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Service.

2. Description of Service

Watcher2 provides automated file monitoring services that check specified online files for changes and notify users when changes are detected. The Service includes file history, version comparison, and notification features.

3. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your account and password
  • Restricting access to your account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree NOT to use the Service to:

  • Monitor files you don't have permission to access
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Overload our systems with excessive requests

5. Service Limitations

The Service has the following limitations based on your plan:

  • Free Plan: 5 files, 60-second intervals
  • Pro Plan: 50 files, 15-second intervals
  • Enterprise Plan: Unlimited files, 5-second intervals

6. Payment Terms

For paid plans:

  • Fees are billed in the currency stated on our pricing page (e.g., monthly in advance)
  • All fees are non-refundable except as stated in our refund policy or as required by the Consumer Act of the Philippines (RA 7394) (e.g., defective or non-conforming service)
  • We reserve the right to change our fees with at least 30 days’ notice
  • Failure to pay may result in service suspension or termination

7. Refund Policy

We offer a 14-day money-back guarantee for all paid plans. Refund requests must be submitted within 14 days of the initial purchase. Refunds are not available for renewals or plan changes. Nothing in this policy limits your statutory rights under the Consumer Act of the Philippines (RA 7394), including the right to repair, replacement, or refund when the service is defective, not as described, or does not conform to what was agreed. For consumer complaints you may contact us or the Department of Trade and Industry (DTI).

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process personal data in accordance with the Data Privacy Act of 2012 (RA 10173) and as described in the Privacy Policy. We collect and store file snapshots, metadata, and account information only for specified, legitimate purposes and with appropriate security measures.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Watcher2 and are protected by the Intellectual Property Code of the Philippines (Republic Act No. 8293) and applicable international intellectual property laws. You retain all rights to the files you monitor.

10. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access to the Service. We may suspend or terminate the Service for maintenance, updates, or unforeseen circumstances without prior notice.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Watcher2 shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service, including but not limited to missed notifications, data loss, or service interruptions. Nothing in these Terms excludes or limits our liability where such exclusion or limitation is not permitted by Philippine law (including under the Consumer Act or other mandatory provisions).

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Excessive use that affects other users

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Philippines, except where mandatory consumer or data protection laws in your place of residence require otherwise.
